Terms of Service

1. General Terms

Welcome to Kovata. These Terms of Service ("Terms") govern your access to and use of the Kovata platform, including our website at kovata.com, our mobile applications, and all related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

Kovata provides employee training software for hospitality businesses, including tools to build standard operating procedures (SOPs), assign video training, track employee progress, and access AI-powered chat assistance.

2. Account Terms

2.1 Account Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2.2 Account Types

Kovata offers accounts for businesses (employers) and their employees. Business accounts may create training programs, assign content, and monitor employee progress. Employee accounts may access training materials and track their own progress.

2.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or if we believe your account poses a security risk.

3. Acceptable Use

You agree not to use the Platform:

In any way that violates applicable laws or regulations
To impersonate any person or entity
To distribute viruses, malware, or other harmful code
To attempt to gain unauthorized access to any systems or networks
To interfere with the normal operation of the Platform
To harvest or collect information about other users without consent
For any fraudulent or deceptive purpose

4. Marketplace

4.1 Marketplace Overview

Kovata operates a marketplace where users can buy and sell training content, SOPs, video courses, and other educational materials ("Marketplace"). The Marketplace enables sellers to list their content and buyers to purchase access to that content.

4.2 Seller Responsibility and Content

IMPORTANT: Kovata is not responsible for the content sold on the Marketplace. All content listed and sold on the Marketplace is the sole responsibility of the seller who listed that content. Kovata does not review, endorse, or guarantee the accuracy, quality, or legality of any content listed on the Marketplace.

Sellers are solely responsible for ensuring that their content does not infringe upon the intellectual property rights of any third party, complies with all applicable laws and regulations, and accurately represents the content being sold.

4.3 Copyright Obligations

Sellers must not list content that they do not have the right to sell or license. By listing content on the Marketplace, sellers represent and warrant that they hold all necessary rights to sell that content and that the content does not infringe upon any third party's copyright, trademark, or other intellectual property rights.

4.4 Reporting and Takedown

If you believe that content on the Marketplace infringes your copyright or other intellectual property rights, or if you have concerns about the quality, accuracy, or legality of any Marketplace content, you may report it to us at: fabien@ragondin.dev

When we receive a report, we will review the content in question and may take down the material or escalate the matter to the seller for resolution. While we cannot guarantee a specific outcome, we take intellectual property concerns seriously and will work to address legitimate claims in a timely manner.

4.5 Dispute Resolution

If you have a dispute with a seller regarding content purchased on the Marketplace, you agree to attempt to resolve the dispute directly with the seller. If resolution cannot be reached, you may contact us at fabien@ragondin.dev and we will review the matter. However, Kovata's responsibility for Marketplace transactions is limited as described in these Terms.

5. Payment Terms

5.1 Payment Processing

Payments on the Platform are processed by Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy.

5.2 Pricing and Fees

All prices are displayed in US dollars unless otherwise specified. We reserve the right to change pricing at any time, but changes will not affect orders that have already been placed.

5.3 Refund Policy

Unless otherwise specified, all purchases are final and non-refundable. If you experience technical issues preventing you from accessing purchased content, please contact us at fabien@ragondin.dev and we will work to resolve the issue.

5.4 Commission

Kovata retains a 20% commission on all Marketplace transactions. Sellers receive 80% of the sale price for their content.

6. AI Chat Usage Terms

6.1 AI Chat Feature

Kovata provides an AI-powered chat feature to assist with training questions and employee support. This feature uses artificial intelligence to generate responses based on your input and the context of your training materials.

6.2 Limitations

The AI chat feature is provided for informational and training assistance only. Responses generated by the AI should not be considered professional advice, and you should verify important information through appropriate channels. Kovata does not guarantee the accuracy, completeness, or reliability of AI-generated responses.

6.3 User Responsibility

You are responsible for any input you provide to the AI chat feature and for reviewing the outputs. Do not share sensitive, confidential, or personally identifiable information that you are not authorized to disclose.

7. Intellectual Property

7.1 Our Intellectual Property

The Platform and all related software, content, and materials are owned by Kovata or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our written permission.

7.2 Your Content

You retain ownership of any content you upload to the Platform. By uploading content, you grant us a non-exclusive license to use, store, and display that content as necessary to provide the Platform's services to you.

8. Limitation of Liability

To the maximum extent permitted by law, Kovata shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Platform.

In particular, regarding the Marketplace: Kovata is not responsible for the content sold by sellers, the accuracy of any seller representations, or any disputes between buyers and sellers. Your use of Marketplace content is at your own risk.

9. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.
